Corporate Governance

This section set out the main corporate governance practices that are to be followed by the Company. All Directors, individually and as a Board, are committed to following these practices. The conduct of the Board is governed by this Statement and the Company’s Constitution. To the extent that the terms of the Constitution are inconsistent with this Statement, the terms of the Constitution prevail.

The Committee is established by the Board to assist it and report to it in relation to the matters with which it is charged with responsibility. The role of the Committee is to advise on remuneration and issues relevant to remuneration policies and practices including those for senior management and non-executive Directors.
